Transactional Funding Explained:
In transactional funding, an A-to-B-to-C transaction is essentially a same-day, back-to-back real estate transaction where the investor uses short-term funding to complete the purchase from the original seller and then immediately resells the property to the end buyer. Must be a simultaneous close meaning all parties must be present to close that day.
Simple example:
A → B → C
- A = Original Seller
- B = Investor / Wholesaler
- C = End Buyer
The investor is B.
Step 1 — A sells to B
A owns a property and agrees to sell it to B for $150,000.
B does not necessarily have $150,000 available to purchase the property.
Step 2 — B sells to C
B already has an end buyer, C, who agrees to purchase the same property for $175,000.
A → B: $150,000
B → C: $175,000
The gross spread is $25,000, before closing costs, transactional funding fees, commissions, etc.
Step 3 — Transactional funding provides the money
The transactional lender temporarily provides the $150,000 B needs to close the A-to-B purchase.
The transactions are coordinated so that:
A → B closes first
B → C closes immediately afterward
The proceeds from the B-to-C sale are then used to repay the transactional lender funding fees and closing costs.
A Hypothetical Example:
Purchase Price: $150,000
Resale Price: $190,000
You have a contract to purchase the property for $150,000 and a qualified buyer prepared to purchase it for $190,000.
Rather than using $150,000 of your own capital for the purchase, you seek transactional funding for the qualifying transaction.
The purchase closes, followed by the resale to your end buyer. The funding is then repaid from the resale proceeds, along with applicable fees and closing costs.
The result: You were able to facilitate the transaction without having to provide the entire purchase price from your own capital.
Example is for illustration purposes only. Actual funding amounts, costs, requirements, closing procedures, and transaction structures vary.
Transactional funding may or may not be suitable for your situation.
Here is why transactional funding is particularly useful for:
- Double closings
- Wholesale assignments where an assignment isn’t practical
- Large spreads
- Buyers who don’t want the original seller and or end buyer to know their resale price
- Transactions where the end buyer is already identified
- Investors who have the deal but need temporary capital to close
- Have a contract that is not assignable such as some properties off the MLS, bank owned properties, or government owned properties such as HUD, FHA, Fannie Mae, etc
- Wholesaler decides to keep the contract to maximize profits
Requirements
Both transactions must close on the same day.
Both transactions must close and fund with the same title company.
